Policies

The terms “Buyer,” “Authorized Reseller,” and “Customer” mean the party placing the purchase order with Walz Scale. No contractual relationship arises until a purchase order has been accepted by Walz Scale and that acceptance has been indicated on a written acknowledgment. Tenders that do not stipulate an acceptance period are not binding. Orders are subject to Walz Scale's standard terms and conditions, subject to correction for clerical errors.

These Sales Terms and Conditions are binding if they are declared applicable in the tender or in the order acknowledgment. Any conditions stipulated by the Buyer that are in contradiction to these Sales Terms and Conditions are valid only if expressly acknowledged by Walz Scale in writing.

• Orders placed with Walz Scale are not subject to cancellation, change, reduction in amount, or suspension of deliveries except with Walz Scale's consent and on terms that indemnify Walz Scale against loss.
• Unless confirmed in writing, all verbal agreements are void.
• Unless specifically otherwise stated, any software associated with products sold, loaned on trial, or demonstrated to the Customer is proprietary to Walz Scale and may not be duplicated for distribution or sold without Walz Scale's prior written consent.

Prices

• Walz Scale prices are net 30 days and orders are subject to approval of Walz Scale's credit department, with rights reserved to change or withdraw credit terms without notice and to terminate any orders when invoices for work done thereon have gone unpaid for sixty days.
• Prices do not include taxes, duties, or import fees of any kind by federal, state, municipal, or other governmental authority. Any such taxes, duties, or fees are the responsibility of the Customer and are in addition to the prices quoted.
• All prices are quoted in U.S. dollars FOB origin of manufacturing.
• A change in the cost of materials or labor after the quotation date gives Walz Scale the right to alter its prices to reflect those changes.

Payment & Liens

• Payment is 50% on order and the remainder is due prior to shipment.
• All payments are to be made in U.S. dollars.
• Adjustments to payment terms must be provided by Walz Scale in writing.
• Late payments are subject to a 10% late fee, 1% interest, collection costs, and legal fees.
• No withholding of funds, back charges, or credits against amounts otherwise due Walz Scale are permitted unless specifically agreed to in writing.
• Any unpaid account for work done constitutes a lien on any jigs, fixtures, manufactured parts, and raw materials in Walz Scale's possession.

• All items are quoted FOB freight unless otherwise stated by Walz Scale in writing.
• Customer is responsible for any lifting equipment required onsite for the unloading of truck loads.
• Walz Scale is not responsible for changes in design, deliveries, or other instructions unless they are furnished in writing.
• Manufactured parts will be shipped and billed as they are produced.
• Claims for shortage or rejections for defects must be made within fourteen days of receipt of goods.
• Credit on defective parts will be rendered after Walz Scale has had an opportunity to inspect them, provided they are returned to Walz Scale's factory, transportation charges prepaid, within seven days of approved return, and provided they have not been altered or defaced in any way.

Standard Product Limited Warranty

Walz Scale warrants that all equipment supplied and systems properly installed by an Authorized Installer will operate per written specifications as confirmed by the OEM and accepted by Walz Scale. All systems and components are warranted against defects in materials and workmanship for one (1) year from the date of shipment from Walz Scale, unless otherwise stated in the product catalog, manual, quotation, or other published materials.

Walz Scale warrants that the equipment sold hereunder will conform to the current written specifications authorized by Walz Scale and warrants the equipment against faulty workmanship and defective materials. If any equipment fails to conform to these warranties, Walz Scale will, at its option, repair or replace such goods returned within the warranty period subject to the following conditions:

• Upon discovery by the Customer of a non-conformity, Walz Scale must be given prompt written notice with a detailed explanation of the alleged deficiencies.
• Examination by Walz Scale must confirm that the non-conformity exists and was not caused by accident, misuse, neglect, alteration, improper installation, improper repair, or improper testing.
• Walz Scale will have a reasonable time to repair or replace the defective equipment.
• Customer is responsible for shipping the product to Walz Scale. Walz Scale is responsible for shipping the product back to the Customer.

Walz Scale is not responsible for travel time or on-location repairs, including assembly or disassembly of equipment, and is not liable for the cost of repairs made by others.

These warranties exclude all other warranties, expressed or implied, including warranties of merchantability or fitness for a particular purpose. Neither Walz Scale nor an Authorized Reseller will, in any event, be liable for incidental or consequential damages at the point of use.

Walz Scale accepts returns of products that are not damaged or applicable for a warranty issue when the following criteria are met:

• The refund request is within 14 calendar days of delivery of the product.
• The product and all accessories are still in new or like-new condition and include all original accessories, attachments, and packaging.

Original shipping and handling charges are not refundable. Returned goods are subject to a 30% restocking fee. These amounts are deducted from the original amount billed, and the remaining balance is credited to the original credit card or returned by check within 10 business days of returned goods.

Incorrect Items

If you received an incorrect item, no extra charges will be incurred. Walz Scale will replace incorrect items and pay the additional shipping charge.

Customer Order Errors

Incorrect customer orders can be exchanged for another item without paying the 30% restocking charge. However, the customer will pay the additional shipping and handling charge. The replacement item must be at least 85% of the value of the original item.

Return Shipping & RMA Instructions

• Return via prepaid Old Dominion, Con-Way, UPS, or U.S. Mail.
• Insure the shipment for the full value of the purchase.
• Use the original packaging.
• Include an authorized RMA form, a copy of the packing list or e-mailed invoice, and detailed return or exchange instructions.
• Send exchanges and returns to Walz Scale, 656 High Point Lane, East Peoria, Illinois, 61611-9369.
• To request an RMA form, call 309-694-3200 or use the Contact & Support page. Include the original order information, the invoice or order number, and the items requested for return.

Refunds Will Not Be Provided When

• The refund was requested beyond 14 calendar days of delivery.
• The product sent in for refund does not include all original accessories, attachments, and packaging, or the item is not in new or like-new condition, including cracks, dents, or scratches.
• Proof of purchase or receipts are not provided or appear to be forged or tampered with.
• Product fault or damage has been caused by unauthorized use or modification, exposure to moisture, entry of foreign bodies, or improper installation or operation.
• Product labels, serial numbers, waterproof marks, or false proof marks show signs of tampering or alteration.
• Damage was caused by external factors outside Walz Scale's control, including fire, flood, high winds, and lightning strike.
• The respective product has not been sent back to Walz Scale within 7 calendar days after refund confirmation from Walz Scale.

Standard Foundation Terms

• Slab foundations include a 1' thick slab with 2 approaches, 4000 psi concrete, #4 reinforcement rod, 1' on center, and broom finish.
• Foundation pricing assumes virgin soil with no more than 1' grade change in the length of the scale and approaches.
• Backfill will be completed with existing excavated materials.
• Customer is responsible for gravel or fill if necessary to complete the foundation.
• 20' of 1.5" conduit is included in slab foundation pricing. Any additional conduit is the responsibility of the customer.
• Soil bearing conditions are the responsibility of the customer and should be verified prior to foundation installation. Walz Scale will not be held responsible for existing soil conditions.
• Any underground, overhead, or other obstructions impairing the work must be removed at the customer's expense.
• Any required building permits are the responsibility of the customer.
• Excavated debris is left onsite.
• No consideration for union labor is included unless otherwise provided in writing.
• Customer is responsible for marking all underground obstructions.

This policy describes the types of information Walz Scale may collect from you or that you may provide when you access or use the Walz Scale website, and Walz Scale's practices for collecting, using, maintaining, protecting, and disclosing that information.

This policy applies to information Walz Scale collects:

• Through mobile and desktop applications you download from the website, which provide dedicated non-browser-based interaction between you and the website.
